Terms and Conditions.

By signing up as a Distributor / Affiliate with Surplustown, Inc.as your sponsor, you will be agreeing to the following terms and conditions:

Surplustown, Inc. is an Independent Contractor Distributor . Our position is to serve as a Mentoring support. We are your direct sponsor in your new home business. Our duties as your sponsor is limited to, but not inclusive to, the terms and conditions of The Company.

Independent Contractor Status.

Distributors are independent contractors and are not purchasers of a franchise or business opportunity. The Agreement between Surplustown, Inc., The Company and its Distributors does not create an employer/employee relationship, agency, partnership, or joint venture between Surplustown, Inc, The Company and the Distributors. An Distributor shall not be treated as an employee for his or her services or for federal or state tax purposes. All Distributors are responsible for paying local, state, and federal taxes due from all compensation earned as a Distributor. Surplustown, Inc. is not responsible for withholding, and shall not withhold or deduct from an Distributor's bonuses and commissions. Each Distributor shall indemnify and hold Surplustown, Inc. harmless from any claims, damages, or liabilities arising out of the Distributor's business practices. Distributors have no authority to bind Surplustown, Inc. to any obligation. Distributors are not authorized to and will not incur any debt, expense, obligation, or open any checking account on behalf of, for, or in the name of Surplustown, inc. Each Distributor agrees that he or she shall control the manner and means by which he or she operates his or her home based business, and shall establish his or her own goals, hours, and determine his or her own methods of sale, so long as he or she complies with the Terms and Conditions of Surplustown and the Home Based Business Company's Policies and Procedures and applicable law. Each Distributor shall be solely responsible for paying all expense incurred, including but not limited to travel, food, lodging, secretarial, office , long distance telephone, and other expenses.

Indemnification.

The Distributor, as an independent contractor, is fully responsible for all of his or her verbal and written statements made regarding Surplustown, Inc. and the product, services, Compensation plan, and marketing program. The Distributor agrees to indemnify Surplustown, Inc. and hold it harmless from any and all liability including judgments, civil penalties, refund, attorney fees, court costs, or lost business incurred by Surplustown, Inc. as a result of Distributor's unauthorized representations.

Income Claims.

Surplustown, Inc. does not endorse or support any income claims, income projections or income representations. Hypothetical income figures are based upon the inherent exponential potential of network marketing. Surplustown, Inc. and the Use of the ARM system does NOT guarantee any levels of income or earnings to any distributor. Earnings from the home business Company's Compensation Plan soley depend on sales and each distributor's skill, ability and personal application.

Advertising.

Any advertising or promotion of the ARM System, including, but not limited to the mediums of print, electronic, email, internet, television, radio, video and film is strictly prohibited except with written permission and approval by Surplustown, Inc.

Use of ARM.

By enrolling in the ARM sytem, each Distributor does so at ones own risk. Surplustown, Inc. is not responsible for any financial losses, damages,and liabilities incurred by a Distributor in his or her participation in the ARM program.

Each Distributor using the ARM system will be entering into independent and separate contractual agreements with each individual telemarketing agency. Therefore, Surplustown, Inc. is not responsible for any completion, collection or distribution of any information or documents required by each independent agency.

Advertising Coop

The advertising coop funds are used to pay for local and possible national advertising of the Surplustown marketing system ARM for the Home based businesses Surplustown is affiliated with. Being able to advertise nationally will depend on the funds available in the coop. Surplustown is not obligated to advertise nationally. The advertising campaign will consist of at least local advertising. This advertising campaign may include but is not limited to the venue of radio, television or print. The venue and scope of this advertising will depend on the availability of funds in the advertising coop pool. It is the goal of this advertising coop to provide automatic sign ups for each member's home based business. Although, this is the goal of this coop, we cannot make any GUARANTEES that any member will receive any sign ups into their home business as a result of payment into the coop system.

One unit of the coop is $10 per 7 days. You must pay this minimum unit price once every 7 days to be considered a part of the ARM system. The minimum unit price may go up. You will be given at least 24 hour notice if the minimum requirement co-op fee changes. This 24 hour notice will be sent to the Surplustown's member email that is on file on record in the home business the member is affiliated with. It is the responsibility of each member to maintain the accuracy of his or her email address.

You have the option to pay for more units within the coop.

Coop unit prices are: $10, $20, $30, $40, $50, $60, $70, $80, $90, $100 per 7 days.

ARM consists of the telemarketing program plus the advertising co-op. You have the option to participate only in the coop portion. However you cannot participate only in using the Telemarketing portion without paying the coop as well. If you want to enlist an ARM telemarketing agent, you must join the co- op for the benefit of yourself and the Surplustown team.

HOW THE SYSTEM WORKS

Your replicated website link would be put into a sequential rotator. When some one calls into our inbound call center and responds to one of the ads in our advertising campaign, your link will be rotated evenly and also according to how many units you purchased in the coop and the call agent would sign interested people up at your link. Therefore you will receive automatic sign ups.

REPORTING

Surplustown is not obligated to provide any reports in regards to the advertising campaign. This is to eliminate and reduce any administrative costs that would be involved in the maintenance and distribution of any reports. To maximize the coop funds, reporting will only be available by request only. In some instances, reports may not be available.

When available, reports regarding the response rate and other statistical variables of the advertising campaign can be requested by a member. This request must be made in writing through email to surplustown@gmail.com. . Furthermore, the timeliness in the delivery of any report will depend on the advertising entity. Surplustown will not be held responsible to deliver any reports in any specified period of time. Due to the fact that such reports are developed and distributed by advertising entities outside of our control.

CANCELATION OF CO-OP

You may cancel your coop fee at anytime. To cancel your coop, you must send us an email to surplustown@gmail.com with 'Cancel My Coop' in the Subject line. This must be sent within at least 72 hours of the actual date that your coop would be debited.

If you cancel your coop payment, this would exclude you from ARM and having your business built for you. You are still a part of the Surplustown team with unlimited support, but you would not receive any automatic sign ups from ARM and would have to build the business by your own means.

NO GUARANTEES

There are NO GUARANTEES regarding the number of sign ups or income that each member will receive as a result of his or her participation and payment in the Surplustown advertising coop or the ARM individual telemarketing program.

Payment for these services are done so at each member's own risk.

However, the Surplustown team is working with top advertising and marketing firms, that will maximize our advertising dollars. With the ARM telemarketing agencies, we have tested their efficiency in getting sign ups in our program. These agencies are part of a larger telemarketing firm network which hold the highest reputation and standards in telesales and marketing.

As in any business, there is always some risk when spending money for advertising and marketing. But this risk is greatly minimized when you are part of a larger organization or team. If you were to do all this alone, you would have to risk thousands of dollars. As part of a team, your only risk is a few dollars!

NO REFUNDS

There are NO REFUNDS of any payments into the coop or for an ARM telemarketing agent. All payments are non-refundable. However if for some reason the advertising campaign did NOT run, you would be entitled to a refund.

BY Declining, I must DISSOLVE MY AFFILIATION WITH SURPLUSTOWN, INC AS MY SPONSOR IN ANY HOME BUSINESS I HAVE SIGNED UP AS SURPLUSTOWN AS MY SPONSOR. CHECKING THIS BOX DOES NOT CANCEL MY AFFILIATION. IN ORDER TO CANCEL MY AFFILIATION AS SURPLUSTOWN AS MY SPONSOR, I AM RESPONSIBLE TO COMPLETE THE NECESSARY REQUIRED STEPS AS STATED IN THE POLICIES AND PROCEDURES OF THE HOME BUSINESS I AM AFFILIATED WITH THROUGH SURPLUSTOWN.

Payment of Surplustown Advertising Coop

Each $10 payment counts as one unit in the Advertising Coop.
